Corporate Law
To establish a limited liability corporation (LLC), articles and bylaws must be drafted
and approved and then filed with the state of Washington. I have practiced in the area of
corporate law for over fifteen years.
Not for Profit Law
I have practiced in the area of not for profit law for over twenty years and have served
on the boards of fifteen different not for profits and foundations. I have assisted many
individuals in setting up a not for profit.
In establishing a not for profit, an organization must first draft articles and bylaws and then
file these articles with the secretary of state to be recognized as a nonprofit corporation.
An organization must then complete Form 1023 to be filed with the Internal Revenue
Service. The Internal Revenue Service will then review this form to determine whether or
not the organization qualifies for tax-exempt status under Section 501(c)(3) of the Internal
Revenue Code. I have drafted articles, bylaws, completed the required state filings, and
then completed Form 1023 to obtain not for profit status from the Internal Revenue
Service for several organizations.
